[Prudent Reading] Before clicking “I agree” to this Agreement in registration process, you shall read this Agreement fully and carefully. Please read with prudence, ensure that you understand the contents of all clauses, particularly those regarding exemption and limitation of the liability, governing law, and dispute resolution. Important contents will be marked in bold, please pay attention to reading them. If you have any questions regarding this Agreement, you may consult us via the contact information provided herein.
[Signing Action] By filling in your information as instructed on the registration page, reading and agreeing to this agreement, and completing the registration process, you acknowledge that you have fully read, understood and accepted all the contents of this Agreement, and become a user of X-DOOR Platform. During the process of reading this Agreement, if you disagree with this Agreement or any of its provisions, you should immediately cease the registration process.
[Acknowledgement and Acceptance of the Service Agreement] X-DOOR Platform is operated by Kuangyewujie (Shanghai) Technology Co., Ltd.. If the user (hereinafter referred to as “you”) visits X-DOOR Platform and uses the services of X-DOOR Platform, you shall be deemed to have accepted X-DOOR Platform User Service Agreement (hereinafter referred to as “Agreement”). Please read the following content carefully, particularly the bolded text below. If you disagree with the any contents of this Agreement, please immediately cease accessing X-DOOR Platform and using any products or services provided by X-DOOR Platform.
1. General Provisions
The terms of this Agreement include the main body of the Agreement, the individual service agreements for each sub-channel of the X-DOOR Platform, and various rules that have been published or may be published by the X-DOOR Platform in the future, including but not limited to other agreements such as Disclaimer, Personal Information Protection Policy, Personal Information Authorization Statement, and Account Cancellation Agreement (hereinafter referred to as “Other Provisions”). In case of any discrepancy between this Agreement and Other Provisions, Other Provisions prevail. Unless otherwise stated, any products/services provided by X-DOOR Platform shall be subject to this Agreement.
In this Agreement, “Kuangyewujie” refers to Kuangyewujie (Shanghai) Technology Co., Ltd., the developer and operator of X-DOOR Platform.
In this Agreement, “X-DOOR Platform” refers to the websites, APP and WeChat Mini Program mainly with the domain name of [x-door.cn], with supported devices including but not limited to PCs, tablets, mobile phones, and televisions.
In this Agreement, “Users” refers to natural persons that visit or use products/services provided by X-DOOR Platform, including but not limited to registered users and unregistered users. For users who have not registered services/products of X-DOOR Platform, shall be deemed as “unregistered users” as of the time they beginning to use products or/and services or X-DOOR Platform. Unregistered users shall comply with all provisions except for those exclusively applicable to registered users.
If you visit X-DOOR Platform or use products/services of X-DOOR Platform as users of cooperation company, it shall be deemed that you agree to all provisions of this Agreement and Other Provisions, rules, instructions and operation guides issued by X-DOOR Platform.
2. Service Guidelines
X-DOOR Platform uses independently developed operation system to provide users products/services through international networks. You shall：
(1) Configure necessary internet-connected devices, including PCs, mobile phones, tablets, as well as modems, routers and other devices.
(2) Get access to the internet and bear all network and telephone charges incurred in connection with using the Service.
Regarding the significance of products/services provided by X-DOOR Platform, you agree to:
(1) Provide truthful, detailed and accurate personal information for X-DOOR Platform account registration. You shall not register an account using an email address, mobile phone number, or any other means to impersonate the third party.
(2) After submitting registering information, in any case the information changes, you should modify it promptly. If the information provided is not in compliance with the requirements of legality, authenticity, accuracy and completeness, you shall be responsible for any resulting liabilities and consequences, and X-DOOR Platform reserves the right to terminate your access to any of the products/services.
3. Modifications of the Service Agreement
In accordance with changes in national laws and regulations, operational needs, or for the purpose of improving service quality, X-DOOR Platform may, when necessary, revise or update this Agreement and/or various rules from time to time, and shall make an announcement or give notice in advance on the webpage of X-DOOR Platform or the corresponding page of the WeChat Mini Program. The revised and/or updated text mentioned above shall take effect on the date specified in the relevant update instructions; provided that Kuangyewujie undertakes to make such announcement or give notice at least seven days prior to the effective date of the text.
You shall promptly review and understand relevant modified or updated text. If you disagree with modifications or updates, you may contact X-DOOR Platform to feedback your opinions before the effective date. If the feedback opinions are adopted, X-DOOR Platform will adjust modifications as appropriate. If you still disagree with modifications or updates that have taken effect, you shall stop using the Services of X-DOOR Platform affected by modified or updated content. In this case, modifications and updates shall not be binding on you. If you continue using involved services after the effective date, it shall be deemed that you have agreed to all such modified or updated content.
4. Changes, Suspension and Termination of Services
You understand and consent to, that Kuangyewujie may suspend, interrupt or terminate part or all of services of X-DOOR Platform due to its own commercial decisions, governmental actions, force majeure, or other reasons. In the event of such circumstances, we will take reasonable measures and notify you in advance within a reasonable time limit. Unless otherwise provided by laws and regulations, we shall not be liable for any losses caused to you hereby. In the event of merger, division, acquisition or transfer of assets, Kuangyewujie may transfer part or all of X-DOOR platform services and the corresponding rights and obligations under this Agreement to a third party for operation or performance. The specific transferee shall be subject to the notice of Kuangyewujie.
We reserve the right to interrupt or terminate the services provided to you without prior notice under any of the following circumstances:
(1) You are required to submit true information in accordance with laws and regulations, but the personal information you provide is untrue, or inconsistent with the information provided during registration without reasonable proof.
(2) You violate any applicable laws and regulations, or breach the provisions of this agreement.
(3) In accordance with applicable laws and regulations, or required by judicial authorities or competent administrative departments.
(4) For security reasons or other necessary circumstances.
5. User Obligations of Conduct
You must comply with relevant laws and regulations of People’s Republic of China and follow the principle of good faith when using products/services of X-DOOR Platform. You undertake that you will not use the products/services of X-DOOR platform to engage in any illegal or improper activities, including but not limited to the following actions:
(1) Upload, display, post, distribute or otherwise transmit any information containing any of the following contents:
Those in violation of the fundamental principles established by the Constitution;
Those that damage national honor and interests;
Those that distort, vilify, desecrate, or deny the deeds and spirit of heroes and martyrs, or infringe upon their names, likenesses, reputation, or honor;
Those that promote or incite the commission of terrorist or extremist acts and related activities;
Those that incite hatred and discrimination against nationalities, or undermines ethnic unity;
Those that undermine the national religious policy, or promote cults and feudal superstitions;
Those that spread rumors, disrupt social order, or undermine social stability;
Those that disseminate obscene, pornographic, gambling-related, violent, murderous, terrorist, or criminally instructive content;
Those that insult or defame others, or infringes upon the legitimate rights of others;
Those that contain false, harmful, coercive, privacy-infringing, harassing, defamatory, vulgar, obscene, or otherwise morally objectionable content;
Those that may induce minors to imitate unsafe behaviors, violate public morals, or develop bad habits;
Those that inappropriately comment on natural disasters, major accidents, or other catastrophes;
Those that incite crowd discrimination, regional discrimination, or similar prejudices;
Those that contain other content restricted or prohibited by Chinese laws, regulations, rules, ordinances, or any legally binding norms.
(2) Visit X-DOOR Platform or use products/service of X-DOOR Platform for illegal purposes, or conduct the following actions by using X-DOOR Platform without permission:
Those that get access to computer information network, or illegally obtain and use resources of computer information network without permission;
Those that delete, modify or add functions to computer information network without permission;
Those that delete, modify or add data or applications stored, processed or transferred in computer information networks without permission;
Those that intentionally create and spread destructive programs such as computer viruses; Other acts that endanger the security of computer information networks;
Those that use any data on X-DOOR Platform for commercial purposes without permission, including but not limited to obtaining and exploiting any displayed resources on X-DOOR Platform by web crawlers, copying, dissemination, by themselves, with assistance, or by authorizing any third party, without any written consent from Kuangyewujie;
Those that interfere, or attempt to interfere normal operation of X-DOOR Platform and any transactions, activities on X-DOOR Platform by using any devices, software, routines and any other means, and those that result in an unreasonable and huge data load being imposed on the X-DOOR Platform network devices;
Those that engage in illegal and non-compliant activities such as money laundering, misappropriation of trade secrets, theft of personal information, illegal cash-outs, or impersonating Kuangyewujie to post any false or fraudulent information;
Other activities unrelated to online transactions, such as the release of advertising information (except with the written permission of Kuangyewujie);
Those that publish any content that infringes upon the legal rights and interests of the X-DOOR Platform or others, violates laws, regulations and other normative document;
Those that use non-official channels to register, log in and use the X-DOOR Platform account, including registering an X-DOOR Platform account through software or machines, logging in to the X-DOOR Platform account through software or machines, and binding the X-DOOR Platform account with a mobile phone card through non-official channels;
Those that use false information when registering, filling in and binding the X-DOOR Platform account;
Those that sell or transfer the X-DOOR Platform account or the products, virtual assets, rights and interests, etc. under the account;
Those that maliciously transfer virtual assets in the X-DOOR Platform account or maliciously consume virtual assets in the X-DOOR Platform account to a negative balance.
The occurrence of the aforementioned actions shall be deemed your fundamental breach of this Agreement. Under any circumstances, if X-DOOR Platform deems you have or may conducted above actions reasonably(including judgment made through methods such as detection and verification in accordance with technical rules), X-DOOR Platform may delete and block any information you spread or disseminate, suspend or terminate any products/services provided to you by X-DOOR Platform, cancel your qualifications for activities, issue warnings, require rectification within a specified period, freeze your membership privileges and virtual assets, freeze or terminate account, lower the membership level of X-DOOR Platform account, prohibit re-registration, pursue a penalty for breach of contract, and take other measures deemed necessary by the X-DOOR Platform or as required by laws, regulations, rules, and normative documents. If you have any disagreement with above measures, you may contact Kuangyewujie through the contact information published in this Agreement. You shall be legally liable for your actions when visiting X-DOOR Platform and using any products/services of X-DOOR Platform. If you disseminate or spread the above-mentioned information that violates national laws, regulations or public order and good customs on the X-DOOR Platform, the system records of the X-DOOR Platform may be provided to relevant authorities as evidence of your illegal and criminal activities.
6. Platform Services of X-DOOR
(1) Content Accessing
You may access to subscribed information and content through X-DOOR Platform. You shall exercise your own judgement on the content on X-DOOR Platform, and be responsible for any risk arising from dependence or use of the content. To the fullest extent permitted by applicable law, you shall be solely responsible for any and all actions taken based on such content, as well as for any damages and losses arising from such content.
(2) Content Posting
Subject to your compliance with this Agreement, you may post opinions, texts, information, pictures and other content that you have created or otherwise you have the right to post through X-DOOR Platform. Any content you have posted on X-DOOR Platform does not represent opinions, standing, or policy of Kuangyewujie. You shall be solely responsible for all and any content you posted.
You must comply with all laws and regulations when posting on X-DOOR Platform. You shall not use X-DOOR Platform to create, copy, post, disseminate, store any harmful or false information that violate any laws or regulations, endangers national security of the People’s Republic of China, may cause damage to user’s property security or information security, constitutes unsolicited commercial or marketing information, is obscene or otherwise inappropriate, or any other information that we deem unsuitable for publication.
Users shall not use new technologies and applications such as deep learning, virtual reality, and generative artificial intelligence to create, upload, copy, transmit or disseminate false news information and other information content prohibited by laws and regulations, or misrepresent synthetic content as real or natural content. When you publish or disseminate non-authentic information created using new technologies and applications such as deep learning, virtual reality, and generative artificial intelligence, you shall mark it in a conspicuous manner; otherwise, we reserve the right to take measures against relevant content and accounts including but not limited to adding labels, restrictions, and bans.
(3) Content Sharing and Forwarding
You may share and forward information and content on X-DOOR Platform; however, without the written permission from Kuangyewujie, you shall not copy, access, use or collect any information, content, or related data on X-DOOR Platform, nor sell or use the content for any commercial purposes, nor disclose, provide, or permit any third party to use the content in any manner.
7. Rights and Licenses
(1) Platform Statement
The intellectual property of all content used or produced by product/services provided by X-DOOR Platform (including but not limited to products, software, websites, texts, pictures, data and information) shall belong to Kuangyewujie. All intellectual property rights owned or held by Kuangyewujie shall not be transferred as a result of your use of the Platform. Without prior express written consent of Kuangyewujie, you shall not use the foregoing content or create related derivative works thereof in any form, except where you are the rights holder of the work, have obtained authorization from the relevant right holder, or otherwise agreed with Kuangyewujie.
You represent and warrant that all posted and uploaded content through X-DOOR Platform (including but not limited to texts, pictures and other forms of content) is either original or has been legally authorized, and the intellectual property in the uploaded content belongs to you or the relevant rights holder. You are responsible for the authenticity and the legality of such content, and you represent and warrant that you own or have obtained full and unencumbered rights and intellectual property rights, or have obtained full authorization, and that the content does not infringe upon the legal rights of any third party, including but not limited to copyrights, portrait rights, trademark rights, patent rights, rights in company names or trade names, trade secrets, and personal privacy. You shall be solely responsible for your uploaded and posted content on X-DOOR Platform. If the content that you send or disseminate is illegal or infringe rights of others, Kuangyewujie has rights to make independent judgement and take measures including deletion, block and link disconnection. You shall be solely responsible for all the disputes arising from your infringement on the intellectual property of others. If your actions cause any loss or damage to Kuangyewujie, Kuangyewujie reserves the right to claim compensation from you in accordance with laws and regulations.
(2) Users Content and Information Authorization
All the contents (including but not limited to texts, pictures) you posted and uploaded on X-DOOR Platform shall have legitimate resource. You shall own the relevant content or have obtained all necessary rights or authorizations to use it.
Unless otherwise proven, you acknowledge and agree that, to enable better sharing and promotion of user content and to enhance its value and impact, you hereby grant Kuangyewujie a free, irrevocable, non-exclusive, worldwide license to use the content, including but not limited to storing, using, distributing, reproducing, modifying, adapting, compiling, publishing, displaying, translating, performing, or creating derivative works from such content, incorporating the content into other works in known or future forms, media or technologies, sublicensing the content to third parties under the same terms, and taking measures in your name or through professional third parties to collect evidence, lodge complaints, or initiate legal proceedings against infringements of the intellectual property rights in the content you uploaded or posted.
For the avoidance of doubt, such license includes the right to use, reproduce, and display personal images, portraits, names, trademarks, brands, logos, and other marketing or promotional materials included in the user content.
(3) Infringement Compliant
We respect and protect legal rights of your and third parties, including intellectual property rights, rights of reputation, rights of name and privacy rights. You represent and warrant that all content you uploaded on the X-DOOR Platform, including texts, image links, shall not infringe upon the intellectual property rights, rights of reputation, rights of name, privacy rights and other legal rights of third parties. Otherwise, Kuangyewujie has the right to remove any content that is alleged to infringe the rights of any rights holder or relevant party upon receiving notice from such party.
If you believe that any content on X-DOOR Platform infringe your legal rights, you may submit an infringement notice to us, and the specific notification method and requirements shall be in accordance with the Infringement Complaint Guidelines. Upon receiving the valid notice, we will review the content and take necessary measures for the content that can be preliminarily determined to constitute infringement. For content that cannot be determined as infringing, you will be notified accordingly. If you still believe infringement exists, any subsequent notice should include additional evidence supporting the infringement claim.
8. Protection of minors
(1) If you are a minor, you shall read this Agreement under the supervision and guidance of a legal guardian, and your use of products/service of Kuangyewujie must have been consented to by such guardian.
(2) If you are the guardian of a minor, you shall guide them on safety issues that should be noted when surfing the Internet. If you agree the minor’s use of service or product on X-DOOR Platform, you shall provide appropriate guidance regarding the use of service or product on X-DOOR Platform. The minor’s use of product/service on X-DOOR Platform though your account, and the exercise of rights or performance of obligations under this Agreement shall be deemed as your acceptance hereof.
(3) Minor users and their guardians acknowledge and agree that, if you violate any laws or regulations, or any provisions of this Agreement, you and your guardian shall bear all legal liabilities arising therefrom in accordance with laws.
(4) Kuangyewujie attaches great importance to the protection of minors' personal information. When minor users fill in personal information, please strengthen your personal protection awareness and act with caution.
(5) To better protect the privacy right of minors, you are particularly reminded to exercise caution when publishing any content that contains materials involving minors. Once published, it shall be deemed that you have obtained the consent of the right holder to display the minor's portrait, voice and other information on this software and related services, and permit Kuangyewujie to use and process such content related to minors in accordance with this Agreement.
(6) Notice to the Guardians: if your minor under your guardianship registers for, logs in to, or uses services of X-DOOR Platform, you shall be deemed to have granted the necessary consent to such use. You are strongly advised, in addition to granting necessary authorization to your minor, to provide necessary guidance and accompaniment, and to fulfill your obligations of guardianship.
9. Account Registration and Use
You shall confirm that, prior to registering to and using products and services on X-DOOR Platform, you possess the civil capacity required under the laws of People’s Republic of China appropriate to your conduct. If you do not possess such civil capacity, you and your legal guardian shall bear all consequences arising therefrom in accordance with applicable law.
You may create an account to use products/services on X-DOOR Platform. You may register directly on X-DOOR Platform using your phone number or email address, or log in directly via third-party accounts supported by X-DOOR Platform (such as WeChat account) through authorization login.
You are granted a limited right to use your X-DOOR Platform account, which may be used solely for personal and non-commercial purposes. You shall not transfer, lease, lend, sell, share or otherwise make your account available to use for any third party in any manner, except as otherwise regulated by laws or expressly authorized or permitted in writing by Kuangyewujie.
10. Account security
(1) Upon successful registration as indicated on the page, you will be assigned an X-DOOR Platform account, and may set your account password in accordance with the applicable password requirements. Due to the nature of internet services, Kuangyewujie is under no obligation to verify the identity of the person using an account. Any person who provides a username and password consistent with those stored in our database may access the X-DOOR Platform account and use products and services on X-DOOR Platform. If you have not safeguarded your password appropriately, you shall bear all liabilities arising from or that may arise from such circumstances. Except where Kuangyewujie is at fault, you shall be liable for all activities and consequences under your account, including but not limited to online execution of any agreements and the posting of any account.
(2) You acknowledge and agree that, for your better use of all services on X-DOOR Platform and protection of your account security, Kuangyewujie may require you to complete identity verification in accordance with X-DOOR Platform rules and applicable laws and regulations. In addition, to promote convenience of user service, when a user contacts customer service using the phone number linked to their account and successfully completes the relevant identity verification with the Kuangyewujie, Kuangyewujie will assist in performing the relevant operations on the account. Therefore, please properly safeguard your mobile device, and take necessary security measures to prevent the disclosure of your account information. If the disclosure of account information and other consequences are not caused by the fault of Kuangyewujie (such as your mobile phone being stolen or your mobile phone not having the necessary encryption measures set, resulting in illegal prying of the X-DOOR Platform account information, and others using the relevant information to impersonated your identity to use the X-DOOR Platform and customer service, etc.), even if you believe that the relevant behavior was not performed by you personally, Kuangyewujie shall not bear any responsibility arising therefrom.
(3) You confirm and agree that, if you violates provisions of this Agreement, Kuangyewujie has right to make independent decisions to immediately suspend or terminate to provide you part or all of services on X-DOOR Platform, and takes measures including muting your account, blocking or hiding information, deleting posted content, suspending or banning your account, or terminating your account.You shall bear all the liabilities and obligations for any damages and losses relevant to above measures, including but not limited to the removal of the content, visual property and privileges of your account, inability to use your account and relevant services on X-DOOR Platform and any other consequences. You acknowledge and agree that, you have rights and bear obligations for all activities, actions and events under your account in accordance with applicable law. You shall not transfer your account, grant access to your account to any third parties, or engage in any account trading with any third parties in any manner. If you discover anyone who access your X-DOOR Platform account without your authorization, or any abnormal situation with your account that prevent you from accessing or using it normally, you are requested to reset your password in accordance with the Password Resetting Procedure provided by X-DOOR Platform. During this process, Kuangyewujie may require you to provide relevant information and/or supporting materials. Please ensure all content you provide is truthful and valid; otherwise, it may fail our verification process and result in unsuccessful account recovery. If you discover any illegal use of user account or any security vulnerability, please contact and notify Kuangyewujie through the contact information provided in this Agreement.
11. Trading Norms (Applicable to Tourism products within China)
(1) If there is an agreement between you and the merchant on the effective time of the travel product order, such agreement shall prevail; in the absence of an agreement, the following provisions shall be observed:
a. For instant confirmation product orders, the order becomes effective after you make the payment.
b. For secondary confirmation product orders, the order becomes effective after the you make the payment and the merchant gives written confirmation.
(2) After the order becomes effective, if you need to cancel the order due to your personal reasons, unless otherwise specified in the product page or in the order, X-DOOR Platform shall deduct any fees you have paid in accordance with following provisions:
More than 30 days before the travel start date (excluding the 30th day): 5% of the total fees will be deducted.
From 15 days (inclusive) to 30 days (inclusive) before the travel start date: 75% of the total fees will be deducted.
Within 15 days before the travel start date: 100% of the total fees will be deducted.
In addition to above provisions, transaction fees you have paid shall not be refunded under any circumstances. Platform service fees shall not be refunded, except in cases of verifiable major illness or death preventing travel.
(3) You fully acknowledge and confirm that, unless otherwise agreed, as an operator of an e-commerce platform, X-DOOR Platform only provide platform service to facilitate transactions between you and platform merchant. X-DOOR Platform is not a party to the transactions between you and the platform merchant, and does not make any express or implied warranties regarding the truthfulness, legality, accuracy, timeliness, or effectiveness of any oral or written statements, commitments, information, or transactional activities of the merchant and/or you.
You fully understand and acknowledge that the merchant independently assumes statutory and contractual responsibilities for the quality, safety, intellectual property rights, and other aspects of the services it provides.
If disputes arise between you and platform merchants, you can make a dispute settlement service request to X-DOOR Platform. X-DOOR Platform may require both parties to provide relevant supporting documents depending on the situation, and settle the issue in accordance with the “X-DOOR Platform Transaction Dispute Settlement Regulations”.
12. Disclaimers
Unless expressly regulated by applicable law, under any circumstances, we shall not be liable for any indirect, consequential, punitive, incidental, special or punitive damages, including but not limited to the profits losses you have suffered due to your use of the X-DOOR Platform or its services. Unless otherwise expressly provided by applicable laws, our total liability to you, regardless of the cause or form of action, shall at all times be limited to the fees (if any) paid by you to Kuangyewujie during the period of your use of the X-DOOR Platform or its services.
Any interactions or disputes arising between you and other users through the products/services of the X-DOOR Platform shall be your sole responsibility to manage and resolve. Except as required by laws and regulations, Kuangyewujie shall not bear any additional liability, but may provide necessary assistance in accordance with the law as required.
13. Special Statement Regarding Overseas Tourism Information
(1) The X-DOOR Platform operated by Kuangyewujie is not the seller, transaction party, or agent of overseas tourism services. The X-DOOR Platform merely provides the online space and technical medium for overseas merchants to display and promote their overseas tourism products or service information. It does not participate in, facilitate, or guarantee the conclusion of any transaction orders between you and overseas platform merchants.
(2) All information regarding overseas tourism services browsed by you on the X-DOOR Platform (including but not limited to product descriptions, itineraries, pricing, qualifications, etc.) is published and provided independently by the overseas platform merchants. You shall exercise your own prudent judgment regarding the authenticity, accuracy, and legality of such information and independently bear the risks of any decisions made based on such information. The Platform assumes no responsibility for any errors, omissions, or misleading statements in such information.
(3) If you intend to purchase or use any overseas tourism services, you shall independently contact, verify, negotiate, and enter into relevant agreements with the service provider. All matters related to the transaction, including communication, negotiation, payment, performance, and after-sales service, shall be conducted directly between you and the service provider, and you shall independently bear the resulting responsibilities.
(4) The X-DOOR Platform makes no express or implied recommendations, warranties, or guarantees regarding any overseas platform merchant or the services they provide. Furthermore, the Platform shall not intervene in or be held liable for any disputes, claims, or losses arising from the negotiation, formation, performance, or termination of transaction orders between you and such overseas merchants.
14. Legal Liability
Kuangyewujie explicitly states that it does not provide any type of warranty, whether express or implied, but does not restrict commercial implied warranties, warranties for special purposes and appropriate warranties in compliance with laws and regulations.
Kuangyewujie shall not be held liable for breach of contract in the event of performance obstacles, defects, delays, or changes in performance content caused by the following:
Force Majeure factors, such as natural disasters, strikes, riots, wars, government actions, judicial or administrative orders;
Public service factors or third-party factors, such as power supply failures or telecommunications network failures;
Maintenance and security factors, including routine or emergency equipment and system maintenance, equipment and system failures, or network information and data security issues, provided that Kuangyewujie has exercised due diligence in its management responsibilities.
Kuangyewujie is not responsible for the unlawful acts of any third party, nor does it assume liability for the authenticity, legality, or applicability of information not published by Kuangyewujie. If you encounter unlawful acts by a third party while using Kuangyewujie services (including but not limited to instances where others use real names, assume false identities, or remain anonymous to send threatening, defamatory, offensive, illegal, misleading, or deceptive information, or engage in other unlawful conduct) that may cause psychological or physical harm or economic loss, you may promptly report or complain against the perpetrator to the X-DOOR Platform.
To the extent permitted by law, Kuangyewujie shall not be liable for any indirect damages, including loss of goodwill, loss of profit, loss of revenue, business interruption, loss of contracting opportunities, loss of anticipated interests, or any other indirect, incidental, or punitive damages.
If your actions cause Kuangyewujie to suffer losses (including direct and indirect economic losses), result in claims from any third party, or lead to penalties from administrative departments, you shall be fully liable for compensation.
If any party claims that your actions have infringed upon the rights and interests of a third party, resulting in litigation or other disputes involving Kuangyewujie or third parties providing products/services to the X-DOOR Platform, you agree to defend Kuangyewujie and/or the aforementioned third parties. Kuangyewujie reserves the right to conduct an independent defense at its own expense and seek recourse from you.
15. Governing Law
The concepts and definitions involved in this Agreement shall be consistent with the corresponding concepts and definitions under the laws of the People's Republic of China. Any disputes arising from the reservation of products or use of services through the X-DOOR Platform shall be resolved through negotiation between the parties; if negotiation fails, either party may initiate litigation in the People's Court of Jinshan District, Shanghai.
For disputes related to the X-DOOR Platform, you fully acknowledge and agree that the Small Claims Procedure shall apply to civil cases that meet small claims standards, and the judgment of the first instance shall be final. Matters related to the trial organization, trial period, trial methods, and the finality of the first instance judgment under the Small Claims Procedure shall be governed by the Implementation Measures for the Pilot Reform of Separating Simple from Complex Civil Procedures issued by the Supreme People's Court.
